Terms and Conditions

These General Terms and Conditions govern the use of the e-commerce website operated under the brand name Azurecarpet and all business-to-business (B2B) transactions concluded through it.

Article 1 – Scope and applicability

The e-commerce website Azurecarpet is operated by:

These General Terms and Conditions apply to all offers, orders, and agreements concluded via the Azurecarpet website with professional customers only (B2B).

By placing an order, the Customer expressly accepts these Terms and Conditions, to the exclusion of all other terms and conditions, including those of the Customer, unless explicitly accepted in writing by FLORA CARPETS.

Azurecarpet does not sell to consumers. Any order placed by a non-professional customer may be refused or cancelled without compensation.

Article 2 – Prices, VAT, and payment

All prices are stated in euros (€) and are exclusive of VAT, unless explicitly stated otherwise. VAT is calculated according to the applicable Belgian and EU VAT rules and shown during checkout.

Prices do not include:

  • Transport or delivery costs

  • Additional services such as special handling, assembly, ladder lift, or extra logistics work

These costs are charged separately where applicable.

FLORA CARPETS reserves the right to modify prices at any time. The price displayed at the time of order placement is the applicable price. Obvious pricing or typographical errors are not binding.

Products remain the exclusive property of FLORA CARPETS until full payment of all amounts due has been received.

Accepted payment methods are those offered on the website at the time of purchase. FLORA CARPETS may change or restrict payment methods at any time.

If a payment is refused or fails, the order is automatically cancelled.

Invoices are issued only to legal entities and only upon request.

In case of late payment, outstanding amounts are increased automatically and without prior notice by:

  • statutory interest in accordance with Belgian law, and

  • a fixed compensation of 10%, with a minimum of €50, without prejudice to further damages or collection costs.

Complaints do not suspend payment obligations.

Article 3 – Products and availability

Product descriptions, images, colors, dimensions, and specifications are indicative only. Minor variations may occur due to manufacturing processes, materials, or screen display differences.

FLORA CARPETS cannot be held liable for:

  • material, typographical, or printing errors

  • incomplete or outdated information

  • differences between product images and delivered goods

Offers are valid while stocks last and may be modified or withdrawn at any time.

Orders of more than 10 units of the same product or variant may be subject to manual review and may be refused or cancelled. For project-based or bulk orders, Customers must contact us in advance.

FLORA CARPETS reserves the right to refuse orders, split deliveries, or impose additional conditions without justification.

Article 4 – Orders and confirmation

Orders are placed exclusively via the Azurecarpet website. An order confirmation email is sent after placement.

An order is considered accepted only after confirmation by FLORA CARPETS. If one or more products are unavailable, the Customer will be informed and any amounts already paid will be refunded proportionally.

Article 5 – Delivery and shipment

Delivery times are indicative only and do not constitute an obligation of result. Delays do not entitle the Customer to compensation or termination.

Indicative delivery times:

  • Stock products: up to 4 weeks

  • Non-stock or custom products: up to 12 weeks

Delivery options may include:

  • Customer pickup (after confirmation)

  • Delivery arranged by FLORA CARPETS

  • External carrier

Transport and shipping costs are communicated separately and may be invoiced separately.

The Customer is responsible for ensuring access to the delivery location. Failed delivery due to the Customer’s fault results in additional costs borne entirely by the Customer.

Risk transfers to the Customer upon delivery or first delivery attempt.

Visible damage or shortages must be reported immediately upon delivery.

Article 6 – Returns and cancellations

Returns and cancellations are not accepted unless explicitly agreed in writing by FLORA CARPETS.

Custom-made, cut-to-size, project-based, or bulk orders cannot be cancelled or returned.

If a return is exceptionally accepted in writing, it must be unused, in original packaging, and return costs are fully borne by the Customer. Any reduction in value may be charged.

Article 7 – Force majeure

FLORA CARPETS is not liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to supplier failures, strikes, transport disruptions, fire, flood, or governmental measures.

Article 8 – Intellectual property

All intellectual property rights relating to products, brand names, texts, images, and website content remain the exclusive property of FLORA CARPETS.

Any unauthorized use, reproduction, or modification is strictly prohibited and may result in legal action.

Article 9 – Liability

FLORA CARPETS cannot be held liable for indirect or consequential damages, including loss of profit or business interruption.

In all cases, liability is strictly limited to the amount actually paid by the Customer for the relevant order.

FLORA CARPETS is not responsible for third-party websites or services linked from its website.

Article 10 – Complaints

Any questions or complaints must be submitted in writing via email or the contact form on the website. Complaints do not suspend payment obligations.

Article 11 – Privacy and data protection

Personal data is processed in accordance with our Privacy Policy, available on the website. Data is stored securely in our Odoo SaaS system and never sold to third parties.

Article 12 – Amendments

FLORA CARPETS reserves the right to amend these Terms and Conditions at any time. The updated version applies from the date of publication on the website.

Article 13 – Nullity

If any provision of these Terms and Conditions is declared invalid or unenforceable, the remaining provisions remain fully valid.

Article 14 – Applicable law and jurisdiction

These Terms and Conditions are governed exclusively by Belgian law.

All disputes fall under the exclusive jurisdiction of the competent courts of Antwerp, Belgium.
